(NYSE:  HIFR).  The complaint alleges violations of federal securities laws, Sections 14(a) and 20(a) of the Securities Exchange Act of 1934 and Rule 10b-5, including allegations relating to possible breaches of fiduciary duty by InfraREIT’s officers and directors relating to the acquisition of InfraREIT by Oncor Electric Delivery Company LLC through its wholly owned subsidiary 1912 Merger Sub LLC.
